| Chapter I
Name, character, seat and the area of activity
§1.
The union of associations of real estate managers under the name:
„POLISH FEDERATION OF REAL ESTATE MANAGERS”,
is being formed and in the further part of the statute shall be referred to as the „ Federation”. ---
§2.
The Federation is a voluntary union of associations of real estate managers. --
§3.
The Federation is a civic organization, acting by authorization in the interest of and on behalf of federated associations. ---
§4.
The area for the activity of the Federation is the area of the Republic of Poland, and the seat of its authorities is the city of Warsaw. ---
§ 5
The Federation can be a member of other organizations, national and foreign ones. ---
§6.
1. The federation bases its own activity on the voluntary work of persons organized in associations in member organizations. ---
2. The Management of the Federation can employ staff members to conduct the matters connected with the statutory activity and also outsource the activities according to the generally accepted rules.---
§7.
The Federation uses the seal and other official markings established by the Management. ---
Chapter II
Objectives, tasks and forms of the activities.---
§8.
Main objectives of the Federation: ---
1. professionalization the real estate market services in the scope of management,---
2. care for the observation of professional ethics rules on the real estate market,---
3. protection of professional rights and raising the rank of the real estate manager profession,---
4. representation of the Federation members in front of central and local governmental organs and institutions, and also on the international forum within the scope of the realization of objectives provided for within the statutes,---
5. improvement of the training program and the improvement of professional qualifications,---
6. help for associations organized within the Federation,---
7. integration of the environment of real estate managers.---
§9.
1. The federation realizes its own objectives by:---
a. activities for the development of real estate managers,---
b. the organization of meetings, conferences and professional practices,---
c. publication of articles and the organization of training sessions to familiarize the professional environment about problems of real estate managers,---
d. cooperation with organs of the public and municipal administration for the purpose of the creation of conditions of development of real estate managers,---
e. propagation of new technologies in the construction industry improving the conditions of real estate operation management ,----
f. organization and running in the interest of the Federation members of the legal, economic, technical and organizational counseling,----
g. cooperation with national and foreign organizations within the scope of real estate management,---
h. participation in international organizations’ works ,---
i. cooperation with organizations associating representatives of other professionals working on the real estate market,---
2. The federation can run business activity, in compliance with effective regulations, earmarking the derived income for realization of statutory objectives. ---
Chapter III
Members, their rights and obligations
§10.
Members of the Federation are divided into:---
1. ordinary members,---
2. supporting members.---
§11.
An association enjoying a status of a legal entity may become an ordinary member.---
The basis to accept new members to the association shall be the decision of the Management, undertaken in a form of a resolution, passed on the basis of the following documents delivered by a candidate to the Federation Management: ---
1. written declaration of the accession to the Federation,---
2. affidavit of the acceptance of the Federation statutes,---
3. articles of incorporation of a party applying for membership.---
§12.
A supporting member can be a legal entity supporting the Federation activity. The status of a supporting member is granted by the Management Board, in a form of a resolution, after the perusal of the character and the kind of the activity of an interested party and after the submission by this member of a written membership declaration and after paying the membership fee in the amount settled by the Management.---
§13.
An ordinary member is entitled to:---
1. the participation of his own representatives in the authorities of the Federation and other collegial organizations appointed by these authorities. ---
2. inspire the activities of the Federation and take advantage of experiences of the associated organizations. ---
3. avail him-/herself from the Federation assistance within the scope of:---
a. the realization of its own statutory objectives ,---
b. other entitlements resulting from this statute.---
4. participation in forms of inter-associational cooperation within the framework of the Federation.---
§14.
An ordinary member has a duty:---
1. to observe and realize the decisions of the statute of the Federation and the realization of resolutions and decisions of authorities of the Federation, ---
2. to participate in the realization of the Federation objectives,---
3. to pay the membership fee on time. ---
§15.
A supporting member has the right to:---
1. take advantage of the organizational help and services of the Federation according to the tasks assigned in the resolution about the acceptance of the member,---
2. inspire the activities of the Federation and take advantage of experiences of the associated organizations. ---
§ 16
A supporting member is obliged to pay to the benefit of the Federation of the membership fee settled each time in the resolution of the Management Board about the acceptance of the member.---
§ 17
1. The loss of membership in the Federation shall be caused by the following: ---
a. a voluntary written notification to leave the Federation, ---
b. dissolution of the associations or its loss of the legal status,---
c. losing qualifications which are a requisite to obtain the rights of an ordinary member, ---
d. exclusion as a result of the member failure to perform specific duties referred to herein, and in legally valid resolutions of authorities of the Federation.---
2. The Management Board decides in the resolution undertaken with the simple majority of votes on the loss of membership in the presence of at least 3 the Management Board, including the President and one Vice-president.---
3. The exclusion should be preceded with a hearing of the interested member.---
4. The resolution about the exclusion can be appealed to the National Council of the National Polish Federation of Real Estate Managers.---
Chapter IV
The organization and authorities of the Federation.---
§ 18
Authorities of the Polish Federation of Real Estate Managers are the following:---
1. The National Council,---
2. The Management,---
3. The Auditing Board.---
§ 19
1. The authorities of the Federation can consist exclusively of persons organized in member associations. ---
2. The term of office of the Management and the Auditing Board lasts for three years.---
3. Authorities of the Federation pass resolutions in the open vote if the statute does not state otherwise. ---
§ 20
1. The National Council is the supreme authority of the Federation.
2. The National Council consists of the members of associations - ordinary members of the Federation delegated by their own organizations in numbers established with the use of the principle referred to below : ---

3. The National Council is convened by the Management, at least twice in the year. The report session is convened by the Management not later than until the end of the month of June each year.---
4. Resolutions of the National Council are passed in the open vote, with a simple majority of votes in the presence of at least half of those entitled to vote, unless the statute determines otherwise. The National Council can decide upon the secret manner of voting.---
5. If the National Council consists of an inadequate number of members to pass resolutions shall be convened in the second term, on the same day, a half an hour earlier. The National Council convened in the second term is authorized to pass legally valid resolutions regardless of a number of present members, by a simple majority of cast votes. ---
6. Decisions passed in section 5 § 20 does not apply to the dissolution of the Federation.---
7. At the request of at least 1/5 ordinary members of the Federation, the Management Board is obliged to convene the National Council within two months from the date of the receipt of the application and in the event of failure to do so, this competence, within the following two months, is vested in the Auditing Board.---
8. Managements Boards of ordinary members of the Federation should receive notifications about the date and the place of the National Council session together with the proposed agenda and projects of resolutions at least 14 days before the date of the convention of the session.---
9. The delegate can take part in the National Council only in person.
§ 21
To the competence of the National Council include in particular:---
1. passing the statute of the Federation and its amendments,---
2. passing resolutions of main directions of the program activity ,---
3. election and termination of members of the board and the Auditing Board,---
4. confirmation of reports on the realization of the accepted program activity and giving the vote of acceptance to the Management Board,
5. confirmation of annual financial statements,---
6. establishment of membership fees and entrance fee for members of the Federation ---
7. decision - making process on the acquisition and to disposal, and encumbering the Federation assets,---
8. confirmation of work regulations of the Federation authorities as well as of other regulations regulating the statutory activity of the Federation.---
9. investigation of appeals from the reversals of a decision of the Management Board and the Auditing Board, ---
10. confirming of the emblem and a member's marks of distinction,---
11. passing resolutions on the Federation’s membership to other organizations,---
12. passing of resolutions about the Federation dissolution.---
§ 22
1. The National Council of the Polish Federation of Managers Real Estate elects : ---
a) the Management Board consisting of the President , two Vice-presidents and 3 to 5 Members of the Board,---
b) the Auditing Board consisting of the Chairman and 2 to 4 members of the Board of Auditors.---
2. If the number of members of the Management Board ( with the exclusion of the President) or the Auditing Board during the term of office will decrease as a result of voluntary leaving of the Federation, exclusions, dismissal or death the supplementary elections in the mode provided for the election of members of the Management Board and the Auditing Board.---
3. If the situation referred to in section 2 refers to the President, this function to the time of the election of a new President by the National Council shall be vested in the Vice-president elected by the Management Board by secret ballot . ---
§ 23
1. The election of the members of the Management Board and the Auditing Board of the Federation takes place by ballot from an unlimited number of candidates, separately to a function of the President of the Federation and separately to the functions of remaining members of the Management Board and the Auditing Board.---
2. A number of elected members of the Management Board and the Auditing Board of the Federation shall be established by the National Council of the Federation.---
3. This candidate who received the greatest number of valid votes shall become the President.---
4. The Management Board and the Auditing Board of the Federation shall consist of those candidates who received in turn the highest number of valid votes.---
5. Elections of the Federation authorities are carried out by the Election Committee elected at the National Federation meeting, setting a number of votes cast for each candidate, a number of valid votes and persons elected into governing bodies. The committee shall write minutes on its sessions. ---
6. At the first session after the elections the Management of the Federation at the request of the President of the Federation elects Vice-presidents and divides the functions in the Management.---
7. The Chairman of the Auditing Board shall be elected from among its own members of this committee at the first session after the elections.---
8. The first session of a newly elected Management Board and the Auditing Board of the Federation shall be convened by the Chairman of the National Council of the Federation immediately after the elections.---
§ 24
1. The competence of the Management Board includes in particular:-
a) Representation of the Federation outside and the submission on its behalf the statement of will,---
b) Control of the entirety of the activity of the Federation in compliance with the decisions of the statutes, resolutions and recommendations of the National Council,---
c) Elaboration of projects of the program activity of the Federation, including its financial budget,---
d)Managing the assets and funds of the Federation,---
e) Development of projects of the emblem and the seal of the Federation,---
f) Appointing and dissolution of problem handling committees,---
g) Setting up of the office of the Federation, passing the resolution on the by-laws of his activity and other internal regulations.---
h) Acceptance of new members, crossing out from the Federation membership list and exclusion from membership.---
2. Two persons from the Management Board jointly, including the President or the Vice-President are authorized to submit declarations of will and to commit on the Federation behalf.---
§ 25
1. The Management Board Meetings are convened by the President of the Federation and should take place at least once in a quarter of the year. ---
2. All Members of the Management Board and the Auditing Board should receive notifications about the date and the place of the session together with the proposed agenda fourteen days before the date of the convention of the session.---
§ 26
1. The Office of the Federation and its director can be appointed to perform the statutory activities of the Management Board.---
2. The Office of the Federation performs specific tasks according to the action by-laws passed by the Management Board.---
§ 27
1. The Auditing Board tasks are as follows:---
a) supervision over the entire activity of the Federation in respect of the compliance with regulations of law, with decisions of the statutes and with the resolutions of the National Council ,---
b) presentation to the National Council of the performance assessment of the Federation activity and submitting conclusions arising from effected inspections.---
2. The Auditing Board examines the activities of the Federation in due measure, according to the needs, at least once a year.---
3. The Auditing Board presents to the National Council the opinion on the report from the activity of the Management, and proposes a motion in the matter of granting the Management Board the vote of acceptance for the past year.---
4. The Auditing Board is entitled to submit the conclusions arising from effected inspections to the Management Board.---
5. Auditors can be a party to Management Board meetings with the advisory vote.---
§ 28
1. Authorities of the Federation express their own position in a form of resolutions.---
2. Resolutions of authorities of the Federation are passed with a simple majority of votes cast in the presence at least half of members entitled to vote, as far as the statute does not determine otherwise.---
§ 29
1. All sessions of the Federation authorities shall be recorded in minutes signed by the chairman of the session and the recorder clerk.--
2. The official record contains information on the regularity of the convention of the session, its abilities to pass resolutions, contents of resolutions and results of each voting session. The attendance list shall be attached to the minutes of the meeting.---
Chapter V
Funds and assets of the Federation.
§ 30
The Federation assets are the rights, real estate, movables and funds.
§ 31
The Federation funds consist of:---
1. receipts obtained from collections,---
2. revenue from property and movables being in possession of the Federation,---
3. grants, donations, subventions, gifts and bequeaths,---
4. receipts from the Federation business activity, run pursuant to separate regulations,---
5. other receipts and earnings.---
§ 32
Funds are used for the realization of statutory objectives of the Management of the Federation.---
Chapter VI
Amendments of the statutes and dissolution of the Federation.
§ 33
Resolutions in the matter of amendments of the statutes or dissolution of the Federation shall be passed by the National Council with the qualified majority of 2/3 of cast votes at the presence of at least half of the members entitled to vote.---
Chapter VII
Passing the resolution on the statutes
§ 34
1. The statutes of the Federation were passed by fully authorized representatives of federalizing Associations at the founders’ session on 06th March, 2004 i.e. the Founders’ Committee consisting of:---

Members of the Committee: Grzegorz Brzeskot and Magdalena Radomska . ---
2. Amendments of the statutes were effected by the resolution of the National Council of the Polish Federation of Real Estate Managers on 19 June, 2006.---
3. The election regulation constituting an attachment to this statute shall be stricken out en bloc. ---
